2IncasetheUser falls under anyofthe events describedin the following items, the Licensor may immediatelyterminate this Agreement or claim that the Usercompensates for the damage incurred by the Licensor duetosuch event:1.When the User violated any provisionofthis Agreement;or2.When a petitionhasbeen filed against the User foran attachment, provisional attachment, provisionaldisposition or any other compulsory execution.If this Agreementisterminated pursuanttothe provisionofArticle8,the User shall destroy the Licensed Software, anyrelated documents and copies thereof withintwo(2)weeksfrom such dateoftermination.1.The copyright and all the other intellectual propertyrights relatingtothe Licensed Software shall belongtothe Licensor and the Original Rightholder, and in noevent shall they be under the ownershipoftheUser.2.The User shall, whenever itusesthe Licensed Software,comply with any laws relatingtothe copyright and otherintellectual property rights.1.Itisprohibitedtoexport the Licensed Software andany related documents outside the countryofthe User(including transmission thereof outside the countryofthe User via Internetofother communication tools).2.The User shall understand that the Licensed Softwareshall be subjecttothe export restrictions adopted by thecountryofUser and any other countries.3.The User shall agree that the software will be subjectto any and all applicable international and domesticlaws (including the export control regulationofthecountryofUser and any other countries, and anyrestrictions concerning the end-users, the use by end-users and importing countries to be provided by thecountryofUser and any other countries, and any othergovernmental authorities).1.In the event any partofthis Agreementisinvalidated byoperationoflaw, the residual provisions shall continue inforce.2.Mattersnotstipulated in this Agreement or anyambiguity or question raised in the constructionofthisAgreement shall be provided or settled upon good-faithconsultation betweentheLicensor and theUser.3.The Licensor and the User hereby agree that thisAgreementisgoverned by the lawsofJapan, and anydispute arising from, and relatingtothe rights andobligations under, this Agreement shall be submittedtothe exclusive jurisdictionofthe Tokyo District Court for itsfirst instance.
