Tait Software Licence Agreement 161“Person” means any individual,partnership, corporation, association,joint stock company, trust, jointventure, limited liability company,governmental authority, soleproprietorship, or other form of legalentity recognized by a governmentalauthority.“Security Vulnerability” means anyflaw or weakness in system securityprocedures, design, implementation,or internal controls that if exercised(accidentally triggered or intentionallyexploited) could result in a securitybreach such that data is compromised,manipulated, or stolen, or a system isdamaged.“Software” (i) means proprietarysoftware in executable code format,and adaptations, translations, de-compilations, disassemblies,emulations, or derivative works ofsuch software; (ii) means anymodifications, enhancements, newversions and new releases of thesoftware provided by Tait; and (iii) maycontain one or more items of softwareowned by a third-party supplier. Theterm "Software" does not include anythird-party software provided underseparate license or not licensableunder the terms of this Agreement.“Source Code” means softwareexpressed in human readablelanguage necessary forunderstanding, maintaining,modifying, correcting, and enhancingany software referred to in thisAgreement and includes all states ofthat software prior to its compilationinto an executable programme.“Tait” means Tait Limited andincludes its Affiliates.SECTION 2 SCOPEThis Agreement contains the termsand conditions of the license Tait isproviding to Licensee, and ofLicensee’s use of the Software andDocumentation. Tait and Licenseeenter into this Agreement inconnection with Tait delivery of certainproprietary Software and/or productscontaining embedded or pre-loadedproprietary Software.S ECTION 3 GRANT OFLICENSE3.1. Subject to the provisions of thisAgreement and the payment ofapplicable license fees, Tait grants toLicensee a personal, limited, non-transferable (except as permitted inSection 7), and non-exclusive licenseto use the Software in executable codeform, and the Documentation, solely inconnection with Licensee's use of theDesignated Products for the useful lifeof the Designated Products. ThisAgreement does not grant any rights tosource code.3.2. If the Software licensed under thisAgreement contains or is derived fromOpen Source Software, the terms andconditions governing the use of suchOpen Source Software are in the OpenSource Software Licenses of thecopyright owner and not in thisAgreement. If there is a conflictbetween the terms and conditions ofthis Agreement and the terms andconditions of the any applicable OpenSource Software Licenses, the termsand conditions of the Open SourceSoftware Licenses will takeprecedence.
