150 Tait Software Licence Agreement11.9. EXPORT. Licensee will nottransfer, directly or indirectly, anyDesignated Product, Documentationor Software furnished hereunder or thedirect product of such Documentationor Software to any country for whichNew Zealand or any other applicablecountry requires an export license orother governmental approval withoutfirst obtaining such license orapproval.11.10. SEVERABILITY. In the eventthat any part or parts of this Agreementshall be held illegal or null and void byany court or administrative body ofcompetent jurisdiction, suchdetermination shall not affect theremaining terms which shall remain infull force and effect as if such part orparts held to be illegal or void had notbeen included in this Agreement. Taitmay replace the invalid orunenforceable provision with a validand enforceable provision thatachieves the original intent andeconomic effect of this Agreement.11.11. CONSUMER GUARANTEES.Licensee acknowledges that thelicenses supplied in terms of thisagreement are supplied to Licensee inbusiness, and that the guarantees andother provisions of prevailingconsumer protection legislation shallnot apply.11.12. WHOLE AGREEMENT.Licensee acknowledges that it hasread this Agreement, understands itand agrees to be bound by its termsand conditions. Licensee also agreesthat, subject only to the express termsof any other agreement between Taitand Licensee to the contrary, this isthe complete and exclusive statementof the Agreement between it and Taitin relation to the Software. ThisAgreement supersedes any proposalor prior agreement, oral or written, andany other communications betweenLicensee and Tait relating to theSoftware and the DesignatedProducts.
