If Licensee does not agree to theterms and conditions of this Agreement,promptly return the Software to MatsushitaElectric Industrial Co., Ltd. (“Matsushita”), itsdistributors or dealers from which you made thepurchase.Article 1 LicenseLicensee is granted the right to use theSoftware, including the information recorded ordescribed on the CD-ROM, instructionmanuals, and any other media provided toLicensee (collectively “Software”), but allapplicable rights to patents, copyrights,trademarks and trade secrets in the Softwareare not transferred to Licensee.Article 2 Use by a Third PartyLicensee may not use, copy, modify, transfer orallow any third party, whether free of charge ornot, to use, copy or modify the Software, exceptas expressly provided for in this Agreement.Article 3Restrictions on Copying the SoftwareLicensee may make a single copy of theSoftware in whole or in part solely for back-uppurpose.Article 4 ComputerLicensee may use the Software only on onecomputer, and may not use it on more than onecomputer.Article 5Reverse Engineering, Decompiling orDisassemblyLicensee may not reverse engineer, decompile,or disassemble the Software, except to theextent either of them is permitted under law orregulation of the country where Licenseeresides. Matsushita, or its distributors will notbe responsible for any defects in the Softwareor damage to Licensee caused by Licensee’sreverse engineering, decompiling, ordisassembly of the Software.Article 6 IndemnificationThe Software is provided “AS-IS” withoutwarranty of any kind, either expressed orimplied, including, but not limited to, warrantiesof non-infringement, merchantability and/orfitness for a particular purpose. Further,Matsushita does not warrant that the operationof the Software will be uninterrupted or errorfree. Matsushita or any of its distributors will notbe liable for any damage suffered by Licenseearising from or in connection with Licensee’suse of the Software.Article 7 Export ControlLicensee agrees not to export or re-export toany country the Software in any form withoutthe appropriate export licenses underregulations of the country where Licenseeresides, if necessary.Article 8 Termination of LicenseThe right granted to Licensee hereunder will beautomatically terminated if Licenseecontravenes any of the terms and conditions ofthis Agreement. Upon termination hereof,Licensee must destroy the Software andrelated documentation together with all thecopies thereof at Licensee’s own expense.
